Terms of engagement
These terms apply to analysis work commissioned from Listener Vertex Grid, of Level 7, 84 William Street, Melbourne VIC 3000. By asking us to begin a sitting, paying a deposit, or using this website to send a brief, you accept them. If you do not accept them, do not commission the work.
The work we offer
We provide professional analysis of event listener activity in applications: contained passes, inventories, incident reconstructions, and pre-release passes, as described on this site. We do not sell software, subscriptions, or goods for delivery. Reports are written documents. Walkthroughs are conversations booked from the Melbourne desk.
Acceptance and briefs
A sitting starts when we accept your brief in writing and the deposit specified in the quote is received. A form submitted on this website is a request, not a booking. We may refuse a brief that lacks access, names no surfaces, or asks us to guess about an application we cannot be shown.
Your responsibilities
You warrant that you have the right to show us the application and any traces you send. You will name a counterpart, keep access available for the dates we agree, and tell us if a release will change the build mid-sitting. Delays you cause pause the calendar; they do not, by themselves, cancel the engagement.
Intellectual property
You retain your rights in the application, traces, and materials you supply. We retain our rights in our methods, templates, and the manner of drawing a fire-order map. Upon full payment, you receive a licence to use the report and map inside your organisation for the purpose of understanding and changing the application we read. You may not resell the report, publish it as our endorsement of a product, or present the map as a general method detached from that application.
We may keep a copy of the report for our records and for the defence of a later claim. We do not reuse your application detail in marketing without your written permission.
Confidentiality
We treat the application, traces, and the existence of the sitting as confidential, except where disclosure is required by Australian law or by a professional adviser bound to silence. We ask the same of you regarding our unpublished methods and unpublished quotes.
Liability
The report describes listener activity on the build we were shown, at the time we were shown it. It is not a warranty that the application is safe, complete, or free of other faults. To the extent permitted by the Australian Consumer Law and other laws of Australia, our liability for a sitting is limited to resupply of the analysis or payment of the cost of resupply, and in any event will not exceed the fees you paid for that sitting. We are not liable for lost revenue, lost records, or the cost of rewriting the application.
Nothing in these terms excludes rights you cannot exclude under Australian Consumer Law.
Website
This website is informational. Rates are guidance. Mock form responses demonstrate that a note was accepted by the page; they are not a contract until we reply from the Melbourne desk.
Governing law
These terms are governed by the laws of Victoria, Australia. The courts of Victoria have exclusive jurisdiction, except where Australian Consumer Law gives you a right to another forum.
Changes
We may update these terms for future sittings. The terms in force on the date of our written acceptance apply to that sitting.
