These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, or “Visitor”) and Listener Vertex Grid Co., Ltd. (“Listener Vertex Grid”, “we”, “our”, or “us”), a company established and registered in the Kingdom of Thailand, with its principal practice office at Office 10, 72 Demo Road, Bangkok 00000, Thailand.

By accessing this website (listenervertexgrid.digital), inquiring regarding analytical services, or executing an engagement statement of work, you acknowledge and agree to abide by these Terms.

1. Scope of Advisory & Diagnostic Services

Listener Vertex Grid provides professional consulting, technical telemetry reviews, feature adoption analysis, and digital diagnostic reports for digital product teams.

  • All professional advisory engagements are governed by individual Statements of Work (SOW) detailing scope, deliverables, milestones, and fees.
  • Diagnostic findings, blueprints, and recommendations reflect our objective analytical evaluation based on data provided by the Client.
  • The Client retains responsibility for approving, testing, and deploying any subsequent code modifications or user interface changes in their production environments.

2. Intellectual Property & Ownership of Deliverables

  • Pre-Existing Frameworks: Listener Vertex Grid retains all rights, title, and interest in its proprietary diagnostic frameworks, calculation methodologies, evaluation matrices, and generic templates (including the Diagnostic Telemetry Matrix).
  • Custom Engagement Deliverables: Upon receipt of full payment under the relevant SOW, the Client receives an irrevocable, worldwide, royalty-free license to use, reproduce, modify, and internally distribute the custom diagnostic reports, workflow models, and remediation blueprints generated specifically for their product.
  • Client Data & Telemetry: The Client retains exclusive ownership of all proprietary data, event logs, schema definitions, and product documentation shared with Listener Vertex Grid.

3. Confidentiality & Data Security

Both parties agree to treat all non-public technical documentation, product roadmaps, telemetry event logs, and commercial terms as strictly confidential. Listener Vertex Grid implements industry-standard technical safeguards, access controls, and encryption protocols to protect Client information during all diagnostic phases.

4. Limitation of Liability

To the maximum extent permitted under applicable law in Thailand:

  • Listener Vertex Grid provides advisory deliverables on an “as-is” analytical basis.
  • In no event shall Listener Vertex Grid be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits, business interruption, or data loss arising from the Client’s subsequent software changes.
  • The total aggregate liability of Listener Vertex Grid arising out of or related to an engagement shall not exceed the total fees paid by the Client to Listener Vertex Grid under the applicable Statement of Work in the twelve (12) months preceding the claim.

5. Termination & Cancellation

Either party may terminate an advisory engagement for material breach upon fourteen (14) days written notice if the breach remains uncured. Engagement cancellations, rescheduling, and deposit allocations are governed by our Refund & Cancellation Policy.

6. Governing Law & Dispute Resolution

These Terms and any dispute, controversy, or claim arising out of or relating to them or our advisory services shall be governed by, construed, and enforced in accordance with the laws of the Kingdom of Thailand, without giving effect to any conflict of law principles.

Both parties agree to submit to the exclusive jurisdiction of the competent courts in Bangkok, Thailand for the resolution of any legal proceedings arising hereunder.
